Capsa AI raises $18m to give private capital funds a memory

Capsa AI began by cutting the hours fund managers spend on due diligence. Its Series A backs a bigger claim: that a fund will let one platform index everything it knows

On 9 June, Capsa AI announced an $18m (£13.4m) Series A co-led by TX Ventures and Pivot Investment Partners, with participation from Bek Ventures. Its existing institutional backers – Outward VC, Antler and Cornerstone VC – all put money in again, alongside angels including Paul Forster, co-founder of Indeed. The London and New York company sells what it calls an AI operating system to private capital funds: software that reads a firm’s memos, emails, deal folders and data feeds and puts them to work on sourcing, due diligence, portfolio monitoring and back-office tasks.

Danyal Özdüzenciler and Callum Downie incorporated the company in London on 2 December 2023. Özdüzenciler, the chief executive, spent more than six years in private equity and investment banking at AEA Investors, Citi and Deutsche Bank and, by Antler’s count, worked through more than 50 due diligence processes. Downie, the CTO, spent six years building machine learning systems, including security threat detection and retail theft prevention tools. Antler, which calls itself Capsa’s day-zero investor, says the pair launched the product four weeks into its residency program.

The founders’ own announcement describes the problem they set out to fix as knowledge that sat in scattered systems and in people’s heads. “When they left, it left with them. When a new deal arrived, it started from scratch,” they wrote.

The new round pays for a wider version of that idea. Capsa raised its seed money on a promise to save analysts time on diligence; its Series A rests on the idea that a fund will let one vendor index its entire history and keep the judgment behind past deals on file. For the mid-market companies these funds buy and lend to, it moves part of the scrutiny of a deal from the analyst in the room to the fund’s accumulated record.

From diligence shortcut to fund memory

In September 2024, Capsa closed a £1.7m seed round led by Outward VC, with Cornerstone VC and Antler taking part. Antler’s case for the company then was narrower: it wrote that investment professionals spend 25% of their time on repetitive due diligence tasks, at a cost of £50,000 per investor a year, and that early customers reported an average time saving of 20% on diligence.

The product Capsa described on its website at the start of June 2026 reaches further. It lists investment committee materials drafted from a firm’s CRM and SharePoint, search across every document and email, screening for acquisition and add-on targets, trading comparables built with FactSet and PitchBook data, review of NDAs, share purchase agreements and covenant terms, and scheduled workflows for quarterly portfolio reporting. The company says it connects to more than 15 data sources, including DealCloud and Outlook.

In a statement carried by UKTN, Özdüzenciler said the aim was a platform that “encodes how a fund thinks and operates and then executes on it”.

What the company will and won’t disclose

Capsa cited a 100% customer renewal rate, net dollar retention above 122% and annual recurring revenue up 14 times year on year, as reported by FinTech Global. The company has not published its revenue or the number of firms it serves, so the multiples have no published base. The round takes its total funding to $20m (£14.9m).

The users it names are on its own site. Testimonials there come from staff at Hannover Finanz, Quadriga Capital and Capital D. “We move faster, with more conviction. Capsa is now essential to our investment processes,” Deniz Varan, senior investment manager at Quadriga Capital, is quoted as saying.

Companies House lists the two founders as the only persons with significant control, each holding more than 25% but not more than 50% of the shares and votes.

The terms on which funds hand over data

The company says the money will go on expansion across the US, more engineering and go-to-market hires in London and New York, and further work on the platform’s agentic and indexing features. It puts the assets managed by private capital firms at more than $15tn (£11.2tn), much of it tracked across PDFs, emails and spreadsheets, and the founders wrote that the industry “has been chronically underserved by technology”.

Connecting a fund’s deal folders, email and data feeds to one platform puts its whole data estate with one vendor. Capsa’s home page at the start of June listed SOC 2 Type II certification, single-tenant, virtual private cloud and on-premises deployment, and no training on client data.

For a company being assessed for a buyout or a loan by one of these funds, the fund’s view of it can draw on every earlier memo and deal folder the fund holds, and its quarterly figures can feed a monitoring workflow that runs on a schedule. Capsa has moved in under three years from shaving hours off diligence to asking funds for their institutional memory, and the renewal rate it reports suggests the firms that have handed it over have not taken it back.
